Terms & Conditions for Sparsh Studio

Welcome to Sparsh Studio (“we”, “us”, or “our”). By using our interior design services and accessing our website, you (“Client” or “you”) agree to be bound by these Terms and Conditions. Please read them carefully before using our services.

1. Services Provided

We offer a range of interior design services, including but not limited to space planning, design consultation, furniture selection, project management, renovations, and installations. Our services are tailored to meet the specific needs of each client.
 

2. Client Responsibilities

You agree to provide us with all necessary information, including measurements, design preferences, and budget constraints, to enable us to create an accurate design. You are responsible for any third-party agreements (e.g., contractors or suppliers) required for the completion of the design.

3. Fees and Payment

Our fees are based on the scope of the project, and a detailed estimate will be provided. A deposit may be required prior to starting the project. Payments are due as per the agreed payment schedule. We reserve the right to suspend or terminate services if payments are not made in a timely manner.

4. Intellectual Property

All designs, plans, concepts, and content created by us, including logos, graphics, and text, are the intellectual property of Sparsh Studio. Clients are granted a non-exclusive, non-transferable license to use these materials for the intended purpose.

5. Confidentiality

Both parties agree to maintain confidentiality regarding any proprietary or sensitive information shared during the design process. This includes any plans, concepts, client information, or materials, unless otherwise agreed upon.

6. Changes and Cancellations

Any changes or cancellations must be communicated in writing. In the case of project cancellation, a fee may be applicable based on the stage of the project. We reserve the right to adjust the scope and timeline if necessary.

7. Delivery & Completion

We will provide you with a project timeline and update you on the progress. We aim to complete projects within the agreed-upon time frame, but delays may occur due to factors beyond our control (e.g., shipping delays, weather, or vendor issues).

8. Limitation of Liability

While we strive to provide high-quality design services, we are not responsible for damages or issues that arise due to client decisions, third-party contractors, or unforeseeable events. Our liability is limited to the amount paid for the specific design services.

9. Indemnification

You agree to indemnify and hold harmless Sparsh Studio, its employees, and agents from any claims, losses, or damages arising from your use of our services, including third-party claims.

10. Governing Law

These Terms and Conditions are governed by the laws of India and the state of Assam. Any disputes will be resolved in the appropriate courts in Guwahati, Assam.

11. Amendments

We reserve the right to update or amend these Terms and Conditions at any time. Clients will be notified of any significant changes, and the updated terms will be posted on this page with the revised effective date.

12. Acceptance

Our free service T&C are as follows

 

Effective from: 01/04/2025
Company Name: Sparsh Studio (A unit of Karni Impex)
Applicable to: All residential, commercial, and hospitality interior and turnkey projects.

 

1. Design Services

1.1 Free Design Offer (Only for Turnkey Projects)
Sparsh Studio provides complete interior design and planning services free of charge for clients who engage us for turnkey execution.
This includes:

  • 2D layout planning
     

  • 3D views (basic & realistic)
     

  • Material & finish selection
     

  • Site coordination and execution planning
     

  • VR Experience

     

1.2 Confirmation Deposit
To initiate the design and planning phase, a token amount of ₹25,000 is required from the client. This deposit is a confirmation of the order and project commencement intent.

1.3 Adjustment of Token Amount
The ₹25,000 token amount will be adjusted against the final invoice amount during the submission of the proforma invoice in turnkey projects.

1.4 Chargeable Design for Non-Turnkey Projects
If the client intends to:

  • Purchase materials or products independently (not through Sparsh Studio), or
     

  • Execute only selected portions of the project through Sparsh Studio,
    then the design service will be chargeable as per project scope and complexity.
     

 

2. Scope of Turnkey Projects

2.1 Turnkey projects by Sparsh Studio include the following:

  • Conceptualization to final design
     

  • Complete civil, electrical, plumbing, carpentry, and painting works
     

  • Material sourcing and site delivery
     

  • Skilled labor and site supervision
     

  • Cleaning, debris removal, and handover
     

  • Building permits & liaison services (for new constructions or extensions)
     

2.2 The scope of work will be clearly defined in the quotation and must be mutually approved before execution begins.

 

3. Payments & Billing

3.1 A milestone-based payment schedule will be followed for all turnkey projects. Details will be shared with the client at the time of quotation.

3.2 All payments must be made via bank transfer, cheque, or UPI to the registered account of Karni Impex.

3.3 The client shall bear applicable taxes (GST, permits, etc.) as mentioned in the invoice.

 

4. Project Timeline & Changes

4.1 Project timelines are indicative and may vary based on:

  • Site readiness
     

  • Material availability
     

  • Client approval delays
     

  • External factors like weather, government permissions, etc.
     

4.2 Any changes requested by the client after the design finalization or execution commencement may attract additional cost and timeline revision.

 

5. Warranty & After Sales

5.1 Sparsh Studio provides manufacturer warranties on materials used and installation warranty on services rendered, where applicable.

5.2 All post-handover maintenance or repair services, if required, will be chargeable as per actuals unless covered under specific warranty clauses.

 

6. Cancellations & Refunds

6.1 The ₹25,000 token amount is non-refundable once the design process has begun.

6.2 In case of project cancellation after design approval or material purchase, a cancellation fee and reimbursement for work completed will be deducted from any advance paid.

 

7. Legal & Dispute Resolution

7.1 All projects are undertaken under the registered entity Karni Impex.

7.2 Any disputes will be subject to jurisdiction of Guwahati courts, Assam.

 

8. Client Responsibilities

8.1 The client is expected to:

  • Cooperate in approvals and decision-making in a timely manner
     

  • Provide uninterrupted access to the site
     

  • Ensure all external permissions are granted when required (unless handled by Sparsh Studio)
